Please read this agreement carefully before accessing or using the platform. By accessing or using the platform, you agree to be bound by the terms and conditions below. Caspian One may modify these terms and conditions at any time, and such modifications shall be effective immediately upon posting of the modified terms.

1. About Us
   1. We are Caspian One Limited, incorporated and registered in England with company number 05018700, whose registered office is Waverley House, 115-119 Holdenhurst Road, Bournemouth, BH8 8DY, United Kingdom (“Caspian One” and “us”).
   2. We deliver fixed price projects to our clients using independent contractors. The platform (“Platform”) provides end-to-end lifecycle management for the projects, allowing Caspian One to manage the end-to-end lifecycle of the projects, including defining projects with their clients, allowing partners to bid to complete the projects, and signing off work delivered. 


2. Your Responsibilities and Obligations
   1. By bidding to carry out a project, you are making a binding offer to perform that Project in return for the bidding price. If we accept your offer, an order  (“Statement of Work”) detailing the agreed charges and services will be issued for signing.
   2. Once the Statement of Work is signed, you must execute the projects in accordance with the Statement of Work. If this is not possible, you must notify Caspian One immediately, stating the nature of the problem and impact on the Statement of Work.
   3. You must not bid for a project unless you are reasonably satisfied that you, and the resources you have available, meet the minimum requirements needed to deliver the work, and are able to complete the project within the timeframe provided.
   4. You are not obliged to offer or accept any Statement of Works through the Platform.
   5. You are free to offer or accept any work anywhere else as you see fit, and you are not required to seek Caspian One´s permission to work with other organisations 
   6. It is your responsibility to keep safe and secure any passwords used to access our Platform. If you think someone else might know your password, you must change it straight away and notify us immediately
   7. You must ensure that any information you provide via your account is true, complete and current, and you must notify Caspian One immediately if any of the information provided changes. 
   8. You will make your own enquiries to satisfy yourself as to the accuracy and adequacy of any information supplied to you through the Platform
   9. Any information shared with you on the Platform is confidential and you must not share that information with anyone else without our permission, unless you are required to do so by law.
   10. You must ensure that you have all the necessary rights to use and share any material you upload to the Platform
   11. You must ensure any material you upload to the Platform does not contain anything:

   a)   which is a trade secret or otherwise confidential; or

   b)   which is unlawful, offensive, obscene, defamatory or which tends to promote discrimination on the basis of a characteristic protected by law.

   12. When using the platform, you must not use abusive, threatening or discriminatory language
   13. You must not use the Platform for any unlawful purpose. 
   14. By bidding to carry out a Project, you acknowledge to Caspian One that your services are supplied to Caspian One as an independent limited company and that you are responsible for complying with all statutory and legal requirements relating to the limited company´s staff (“Staff”). 
   15. When communicating with Caspian One´s clients, you must introduce yourself and any of your Staff as independent contractors working on Caspian One´s behalf. You must not mislead anyone about to believe that you or your Staff are employees of Caspian one
   16. You must submit all invoices via the Platform.
   17. All prices quoted in the Platform are exclusive of VAT. You are responsible for any VAT chargeable in respect of Projects you undertake. 
   18. The prices do not include any travel, hotel or other expenses unless explicitly stated. 


3. Caspian One´s Responsibilities and Obligations
   1. Caspian One shall us reasonable endeavours to ensure uptime for the Platform is at least 99.5% during each calendar month.
   2. Downtime caused directly or indirectly by any of the following shall not be considered when  calculating uptime  

   a)   a force majeure event;

   b)   a fault or failure of the internet or any public telecommunications network;

   c)   a fault or failure of your computer systems or networks;

   d)   any breach by you of the terms; or

   e)   scheduled maintenance carried out in accordance with the Agreement.

   3. We offer no other warranty in respect to the Platform
   4. Caspian One is entitled to make any changes to the specification, functionality and features of the Platform that it desires at its sole discretion but shall make reasonable endeavours to inform you of changes to features of the Platform likely to have a significant impact on how you use it.
   5. Caspian One may suspend access to the Platform with immediate effect at any time during if: 

   a)   Caspian One suspect you have misused the Platform or breached these terms

   b)   you become bankrupt or insolvent; or

   c)   you otherwise become incapable of performing your obligations under these terms.



4. Additional terms
   1. These terms contain the whole of the agreement between you and us relating to the Platform.
   2. Nothing in these terms will create any relationship of partnership, agency or employment between us.
   3. No waiver of any right under these terms will be valid unless agreed by Caspian One in writing
   4. Neither party shall have any liability to the other under these terms if either is prevented from, or delayed in, performing its obligations under these terms, or from carrying on its business, by acts, events, omissions or accidents beyond its reasonable control.
   5. These terms shall be construed in accordance with the laws of England & Wales and all disputes, claims or proceedings between the parties relating to the validity, construction or performance of these terms shall be subject to the exclusive jurisdiction of the Courts of England & Wales.
